Considerations for National Account Customers
As an S3 Tech Supply & Solutions National Account Customer (“NA Customer”), you agree that all products and services you purchase through the S3 Tech Supply & Solutions website or any authorized location will be subject to the terms and conditions referenced below and will specifically overrule any additional or conflicting terms or conditions contained in any NA Customer purchase order or other communication.
Standard Terms and Conditions
These standard terms and conditions are effective respecting all sales by S3 Tech Supply & Solutions, LLC on its website s3techsupply.com (“Seller”) and are binding on all S3 Tech Supply & Solutions customers (“Buyer”).
These terms supplement Seller’s order confirmation generated in response to Buyer’s online order for products (the “Order Confirmation”).
1. AGREEMENT
The term “Agreement” means these standard terms and conditions, as supplemented for each transaction solely as to the product description, quantity, and price described in Seller’s Order Confirmation. Seller objects to and will not be bound by any additional or different terms, whether printed or otherwise, in any Buyer’s purchase order or other communication.
2. PRODUCT
“Product” means any and all goods sold by Seller.
3. TERMS OF PAYMENT
Payment will be by credit card or another accepted payment method at the time of order. Buyer will pay all applicable taxes related to the purchase. Tax-exempt organizations must obtain Seller’s approval in advance and submit required documentation. Buyer is responsible for all shipping and handling costs.
4. SHIPPING / DELIVERY
Shipping and delivery dates are estimates and not guaranteed. Shipping dates are based on Seller’s receipt of all required information and the absence of delays beyond Seller’s reasonable control.
Seller reserves the right to make multiple shipments, cancel backordered items, or withhold delivery if Seller reasonably believes the products will be used for improper or unlawful purposes, or if a transaction appears fraudulent.
Seller will not be liable for damages or losses arising from any delay in delivery.
5. RISK OF LOSS
Unless Seller or its carrier expressly agrees otherwise in writing, Buyer assumes all risk of loss once Seller delivers the Product to Buyer’s designated address. Notwithstanding this, Seller retains the right to reclaim or stop shipment if necessary.
6. WARRANTIES AND LIMITATIONS OF LIABILITY
Seller warrants that all Products will be substantially free from defects in material and workmanship for the period designated in Seller’s current warranty schedule, beginning on the date Buyer receives the Product.
This warranty is void if the Product is modified, misused, altered, tampered with, or used in applications such as life-support, medical, or aviation equipment.
All other warranties, express or implied, including warranties of merchantability or fitness for a particular purpose, are excluded.
Seller is not liable for special, indirect, incidental, or consequential damages, including loss of data or profits.
The sole and exclusive remedy is limited to Seller’s repair or replacement of the defective Product or refund of the purchase price.
7. RETURN POLICY
Buyer must inspect all Products upon delivery. Any claim of non-conformity or shipping error must be reported in writing.
Buyer must obtain return authorization before returning any Product. Returns must comply with Seller’s return instructions and be completed within 45 days of receipt.
Unauthorized or late returns may be rejected or subject to a restocking fee.

8. INDEMNIFICATION
Buyer agrees to indemnify, defend, and hold harmless Seller and its affiliates, officers, employees, and agents against any claims, liabilities, losses, or costs arising from:

(i) any breach by Buyer of this Agreement,

(ii) any representation or warranty beyond Seller’s stated warranty, or
-
(iii) any claim that Products caused injury or damage, except those arising solely from defective Products.
9. FORCE MAJEURE
Seller will not be liable for failure to deliver Products due to events beyond its reasonable control, including acts of God, war, labor disputes, material shortages, or government actions. Seller will notify Buyer of such delays.
10. SUCCESSORS AND ASSIGNS
This Agreement is binding on and benefits both parties and their legal successors. Buyer may not assign this Agreement without Seller’s written consent.
11. GOVERNING LAW AND DISPUTE RESOLUTION
This Agreement is governed by and construed under the laws of the State of Wisconsin, USA, without regard to conflict of law principles.
Any dispute will be resolved by binding arbitration in Milwaukee, Wisconsin, under the American Arbitration Association rules.
Seller may seek injunctive relief in the federal district court for the Eastern District of Wisconsin or in Milwaukee County Circuit Court.
12. MISCELLANEOUS
a) Modifications or terminations of this Agreement require Seller’s written consent.
b) This Agreement represents the entire understanding between parties.
c) Seller may cancel or withhold orders if Buyer fails to comply.
d) Invalidity of any provision will not affect the remainder of the Agreement.
e) Seller’s failure to enforce any provision does not constitute a waiver of future rights.
13. PRIVACY POLICY
S3 Tech Supply & Solutions is committed to protecting your privacy. This Privacy Policy describes our practices regarding the collection, use, and protection of your information when using our website s3techsupply.com or related digital platforms.
By using our website, services, or applications, you agree to this Privacy Policy and our Terms & Conditions of Use.
